These Terms of Service ("Terms") govern your access to and use of the proactivepotential.com website and any software we make available through it, including Proactive Vault (together, the "Services"), operated by Proactive Potential ("Proactive Potential," "we," "us," or "our"). By accessing the Services or completing a purchase, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, and have the authority to enter into these Terms — on your own behalf or on behalf of the organization you represent — to use the Services.

2. The Vault License

When you purchase Proactive Vault, we grant you a non-exclusive, non-transferable, non-sublicensable license to install and use the application for your own internal purposes, on the number of devices permitted by your license as shown at the time of purchase. Proactive Vault is available as either a one-time purchase or a monthly subscription, and both grant the same license scope. A one-time purchase license does not expire and carries no recurring fee. A subscription license remains valid for as long as your subscription stays active and payments continue; if a subscription is cancelled or a payment fails, the license lapses at the end of the current billing period. Every license is tied to a license key issued at checkout; you are responsible for keeping that key confidential, and reselling, sharing, or redistributing it is not permitted. We retain all right, title, and interest in and to the software itself, including all intellectual property rights; nothing in these Terms transfers ownership of the software to you.

3. Payment, Taxes & Lemon Squeezy as Merchant of Record

All purchases made through the Services are processed by Lemon Squeezy, Inc. ("Lemon Squeezy"), our order processor and, for these transactions, the Merchant of Record. Lemon Squeezy handles payment processing, applicable sales tax and VAT, and invoicing. Your payment information is submitted directly to Lemon Squeezy — we do not receive or store your full card details. Subscription plans renew automatically each billing period until cancelled; you can manage or cancel a subscription at any time through the customer portal link in your Lemon Squeezy receipt and confirmation emails. Purchases through Lemon Squeezy are also subject to Lemon Squeezy's Terms of Use.

4. Refunds

We offer a 30-day money-back guarantee on Proactive Vault, running from the date of your purchase or, for subscription plans, your first payment. To request a refund within that window, contact us at support@proactivepotential.com. Approved refunds are issued through Lemon Squeezy to your original payment method, and the associated license key is deactivated once the refund is processed. Refund requests made after the 30-day window are not guaranteed and are handled at our discretion. This policy does not limit any statutory refund or withdrawal right you may have under the law of your jurisdiction.

5. Your Data & Privacy

Proactive Vault is local-first software: the contacts, companies, and other data you store in it live in a database on your own device and are not transmitted to or processed on our servers. The only information the application sends to a third party is your license key and a device-instance identifier, sent to Lemon Squeezy solely to validate and activate your license. 6. Acceptable Use

You agree not to: reverse engineer, decompile, or disassemble the software except to the extent applicable law expressly permits; circumvent or attempt to circumvent license activation or usage limits; use the Services to violate any applicable law; or use the Services to build a competing product using our software or materials.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROACTIVE POTENTIAL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Termination

We may suspend or terminate your license if you materially breach these Terms, including by circumventing license activation limits or reselling a license key. You may stop using the Services at any time. Sections of these Terms that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and governing law — will survive.

10. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above. Continued use of the Services after a change takes effect constitutes acceptance of the revised Terms.

11. Governing Law & Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of those courts.
